This Terms and Conditions agreement is made between "" (hereinafter referred to as the "Service Provider") and the user of xdate.lt (hereinafter referred to as the "User") with respect to communications with other members and other online services provided by xdate.lt (the "Service"). The "Service Provider" operates in accordance with the laws of the Latvian Republic. By clicking "Register" on the registration form, you indicate your acceptance of all the Terms and Conditions of this agreement and your registration on xdate.lt.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE DATING WEBSITE

Definitions:

"Portal" is a website located within a top-level domain (TLD) xdate.lt;
"Service provider" is the website administration, which is represented by , contact email: [email protected];
"Service" is publishing, reading, and communicating with users;
"User" is a person who uses the portal’s service.
“Content provider” is a User who uploads any content on the Portal;
"Paid Services" are services that can be purchased on our website.
"Subscription Fee" is the fee for using the premium features of an account.

Terms of service

The user must be at least 18 years of age;
The user must use the Service on his own responsibility;
The "Service provider" does not guarantee that the service is safe, useful, or satisfactory to the user;
The "Service provider" does not guarantee to the user uninterrupted service or the preservation of data inserted by the user;
The "Service provider" does not guarantee the preservation of user privacy;
The "Service provider" does not check the truthfulness and accuracy of the information in the profiles and content published by users;
The user is obliged to make sure that the content being published is correct, true, and relevant, and also following the portal’s terms of use, portal good practice, and legislation;
It is prohibited to use the Portal for any illegal purpose.

The rights of the Service Provider

The "Service Provider" reserves the right to conduct random checks and request age verification on a case-by-case basis. Furthermore, profiles belonging to users under 18 years of age will be promptly deleted by the "Service Provider".
The "Service provider" has the right to refuse the user provision of service without any justification;
The "Service provider" has the right to suspend or terminate the provision of service without prior notification to the user;
The "Service provider" has the right to change the nature of the service and the Terms and Conditions of the service without prior notification to the user;
The "Service provider" has the right to monitor the user’s activity in the portal, read entered content, and collect statistical information about the user;
The "Service provider" has the right to censor, delete and modify the content if their content does not correspond to the Terms and Conditions of service, portal’s good practice, and legislation;
The "Service provider" has the right to send users information on using the service via e-mail.

Service provider’s liability

The "Service provider" is not responsible for any damages and loss of income arising from direct or indirect using or not using the service;
The "Service provider" is not responsible for offences or Terms and Conditions violations committed by the user, regardless of the form and total amount of damages;
The "Service provider" is not responsible for any damages and loss of income arising from information published during the provision of service;
The "Service provider" is not responsible for the content, quality and legality of the links leading outside of the portal;
The "Service provider" is not responsible for any damages and loss of income arising from third-party actions or inactions;
The "Service provider" is not responsible for any damages and loss of income arising from technical failures of any kind;
The "Service provider" is not responsible for the content of published ads.

Essential conditions & rules for Content providers

Content provider must be at least 18 years of age or at least the age of majority in applicable jurisdiction.
Content provider must successfully complete the age verification procedure in order to upload content. Service provider uses UAB “iDenfy” services to confirm the age of Content provider.
Content provider will enter into Agreement with the Service provider under this Terms and Conditions Agreement in order to upload content on the Portal.
Content provider is fully aware that he/she is not in any way an employee of the Service provider or any other entity related to the Service provider.
Content provider may upload content for public and private use which includes without limitation images, photos, videos, text and messages.
Content provider will upload content on his/her own free will and with their consent. Only persons registered in the account of the Content provider may be depicted in the uploaded content.
Content provider consents to being displayed in the content of the Portal.
Content provider will not upload content that suggests or promotes violation of any law or regulation.
Content provider will not upload content that suggests, promotes or contains pedophilia, adolescence, incest, bestiality or zoophilia, elimination or consumption of any bodily waste, blood, violence, child exploitation, nonconsensual activities, deepfakes or implying words that are unacceptable by the standards of good taste.
Content provider is aware that any uploaded content is subject to moderation and review from the Service provider prior to its publication on the Portal.
Content provider is fully aware that their uploaded content, if not marked as private, will be visible to the public and can appear in the search results of search engines, such as Google Search, Yahoo, Bing and others.
Content provider will assign and transfer without any additional compensation irrevocably and exclusively to the Service provider all existing and future intellectual property rights related to the uploaded content.
Content provider agrees that the Service provider may use and reuse, publish, distribute, edit, exhibit and otherwise exploit uploaded by the Content provider content.
Content provider is fully aware that any violation of this Terms and Conditions Agreement can and will lead to the termination of the Content provider’s account. Furthermore, the holder of the account will be banned from registering new account on the Portal.
Content provider is fully aware that Service provider will not be considered responsible for any content, information, communication, opinion, expression or any kind of action originated from the Content provider.
Content provider will indemnify and hold Service provider harmless from any liability related to the Content provider activities in the framework of this Agreement.

User Conduct rules

Do not use the Service for any purpose that is illegal or prohibited by this Terms and Conditions;
Spam, solicit money from or defraud any members is strictly prohibited;
Do not post, stream, or share any content that's under copyright by an entity other than yourself. This might embody design, video, animation, audio recordings, works of fiction, and other forms of content;
Do not share any content promoting other services or links to other websites;
Do not upload viruses or other malicious code or otherwise compromise the security of the Service;
Do not use the Service for professional, commercial, or business purposes, such as selling to clients, soliciting clients, buying or selling sexual services, or other non-personal purposes;
Do not use the Service in order to damage the "Service provider";
Do not share any content portraying minors (individuals below the age of 18), for any reason, in any circumstance. This includes creating relation to underage persons, whether real or fictitious, in an exceedingly "role-playing" context;
Do not share any content depicting sex activity with animals and containing incest, rape, violence, or cruelty;
Do not share any content promoting racism or violence against any ethnic, national, economic, or spiritual cluster or individuals of gender in any manner;
Do not use any username which depicts and promotes underage activity, racism or violence against any individual, country or any religious or social group.
Impersonation of the other person would lead you to a permanent ban from our website. This includes all users of our service, all moderators, and employees.
Solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other members or disseminate another person's personal information is strictly prohibited;
Only persons whose physical or mental condition cannot be harmed in any way by contents of an erotic and/or pornographic nature are allowed to visit this website.

"Service provider" reserves the right to investigate and/or terminate your account without a refund of any purchases if you have violated this Terms and Conditions, misused the Service, or behaved in a way that "Service provider" regards as inappropriate or unlawful, including actions or communications that occur on or off the Service.

In the event that you violate these rules, your authorization to use the Service will be automatically revoked.

Payment

By submitting an order for our Services, you authorize the "Service provider", or its designated payment processors, to charge the account you specify for the purchase amount. All prices we show on our Services are subject to change without notice. When you provide your payment information, including any credit card number, to us or our designated payment processors, you authorize us or our designated payment processors to store payment information and other related information.

Paid Services

a. General.

If you purchase any Services that we offer for a fee (the “Paid Services”), such as a subscription to our Services or tokens, you authorize the "Service provider" and our designated payment processors to store your payment information and other related information. You also agree to pay the applicable fees for the Paid Services (including without limitation periodic fees for ongoing subscriptions (the “Subscription Fees”) as set forth on the Member account webpage) as they become due plus all related taxes (including without limitation sales and use taxes, duties or other governmental taxes or fees), and to reimburse us for all collection costs and interest for any overdue amounts. All fees and charges are non-refundable and there are no refunds or credits for any partially used Paid Services (including partially used subscription periods) except as expressly set forth in this Terms and Conditions, as otherwise required by applicable law (Refund Policy), and at the "Service provider’s" sole and absolute discretion. Fees for the Paid Services may be payable in advance, in arrears, per usage, or as otherwise described when you initially purchase the Paid Services. All prices for Paid Services are subject to change without notice (except as otherwise described in this Section).

b. Payment Method.

The "Service provider" may, from time to time, offer various payment methods, including without limitation payment by credit card, by debit card, by certain mobile payment providers. You authorize the "Service provider" to charge you for Paid Services through any payment method(s) you select when purchasing the Paid Services (the “Payment Method”) and you agree to make payment using such Payment Method(s) (we may, from time to time, receive and use updated payment method information provided by you or that financial institutions or payment processors may provide to us to update information related to your Payment Method(s), such as updated expiration dates or account numbers). Certain Payment Methods, such as credit cards and debit cards, may involve agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Methods (the “Payment Method Provider”). If we do not receive payment from your Payment Method Provider, you agree to directly pay all amounts due upon demand from us. Your non-termination or continued use of the Paid Services reaffirms that we are authorized to charge your Payment Method.

c. Automatic Renewal of Subscriptions.

IF YOU PAY FOR A SUBSCRIPTION BY CREDIT OR DEBIT CARD (OR OTHER PAYMENT METHOD IDENTIFIED ON OUR SERVICES) AND YOU DO NOT CANCEL YOUR SUBSCRIPTION AS SET FORTH IN SECTION (d) BELOW PRIOR TO THE END OF THE SUBSCRIPTION TERM, YOUR SUBSCRIPTION WILL BE AUTOMATICALLY EXTENDED AT THE END OF EACH TERM FOR SUCCESSIVE RENEWAL PERIODS OF THE SAME DURATION AS THE SUBSCRIPTION TERM ORIGINALLY SELECTED. UNLESS OTHERWISE INDICATED IN ANY APPLICABLE ADDITIONAL TERMS OR COMMUNICATIONS WE SEND TO YOUR REGISTERED EMAIL ADDRESS, SUCH RENEWAL WILL BE AT THE SAME SUBSCRIPTION FEE AS WHEN YOU FIRST SUBSCRIBED, PLUS ANY APPLICABLE TAXES. YOU ACKNOWLEDGE AND AGREE THAT YOUR PAYMENT METHOD WILL BE AUTOMATICALLY CHARGED FOR SUCH SUBSCRIPTION FEES, PLUS ANY APPLICABLE TAXES, UPON EACH SUCH AUTOMATIC RENEWAL. YOU ACKNOWLEDGE THAT YOUR SUBSCRIPTION IS SUBJECT TO AUTOMATIC RENEWALS AND YOU CONSENT TO AND ACCEPT RESPONSIBILITY FOR ALL RECURRING CHARGES TO YOUR CREDIT OR DEBIT CARD (OR OTHER PAYMENT METHOD, AS APPLICABLE) BASED ON THIS AUTOMATIC RENEWAL FEATURE WITHOUT FURTHER AUTHORIZATION FROM YOU AND WITHOUT FURTHER NOTICE EXCEPT AS REQUIRED BY LAW. YOU FURTHER ACKNOWLEDGE THAT THE AMOUNT OF THE RECURRING CHARGE MAY CHANGE IF THE APPLICABLE TAX RATES CHANGE OR IF YOU ARE NOTIFIED THAT THERE WILL BE AN INCREASE IN THE APPLICABLE SUBSCRIPTION FEES.

d. Cancellation of Subscriptions.

TO CHANGE OR CANCEL YOUR SUBSCRIPTION AT ANY TIME, GO TO THE “SETTINGS” PAGE OF YOUR DATING PROFILE, CLICK ON “SUBSCRIPTION” AND FOLLOW THE INSTRUCTIONS. IF YOU CANCEL YOUR SUBSCRIPTION, YOUR SUBSCRIPTION BENEFITS WILL CONTINUE UNTIL THE END OF YOUR THEN CURRENT SUBSCRIPTION TERM, BUT YOUR SUBSCRIPTION WILL NOT BE RENEWED AFTER THAT TERM EXPIRES. YOU WILL NOT BE ENTITLED TO A PRORATED REFUND OF ANY PORTION OF THE SUBSCRIPTION FEES PAID FOR THEN CURRENT SUBSCRIPTION TERM.

e. Incorrect Payments and Errors.

In the event that you submit to us a payment for Paid Services that does not match the price for the Paid Services you selected, the "Service provider" shall have the right, in its sole and absolute discretion, to (1) return or refund all or some of the amount of your payment, (2) apply all or some of your payment amount to other similar Paid Services that have a purchase price less than the amount of your payment, (3) apply all or some of the amount of your payment to the purchase of our virtual currency or (4) apply for your payment in any combination of the foregoing ways. The "Service provider" reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.

Termination

Unless otherwise provided, these Terms and Conditions are effective upon your first use of the Services. They shall remain in effect until it is terminated by the Terms and Conditions.

The easiest way to terminate your account is to follow the instructions under "Settings" in the Service. The "Service provider" may terminate your account at any time without notice if it believes that you have violated these terms. Upon such termination, you will not be entitled to any refund for purchases.

Third-Party Services

The Service may contain advertisements and promotions offered by third parties and links to other websites or resources. The "Service provider" is not responsible for the availability (or lack of availability) of such external websites or resources. If you choose to interact with the third parties made available through our Service, such party's terms will govern their relationship with you. The "Service provider“ is not responsible or liable for such third parties' terms or actions.

Free trials and promotions

From time to time, we may offer free trials or other promotions (a “Promotion”). As an example, we may offer promotions that provide free subscriber-level access to the Services for a certain period of time. Furthermore, for example, we may provide you with our virtual currency (tokens) without charge. Additional Terms applicable to any Promotions may be provided.

Severability

If any term or provision of this Agreement will be held invalid or unenforceable to any extent under any applicable law by a court of competent jurisdiction, the remainder of this Agreement will not be affected thereby, and each remaining term and provision of this Agreement will be valid and enforceable to the fullest extent permitted by law.

Disclaimers and Limitations of Liability

Our site is provided on an "as is" and "as available" basis, without any warranties of any kind. We are not responsible for any direct, indirect, incidental, consequential, special, or punitive damages arising out of your use of our site or your interactions with other users.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your use of our site or your interactions with other users, including any breach of these Terms and Conditions.

Compliance with laws and policies

The Services are based in the Latvian Republic. We make no claims concerning whether the Services or the Content may be used or are appropriate for use outside of the Latvian Republic. If you access the Services from outside of the Latvian Republic, you do so at your own risk. Whether inside or outside of the Latvian Republic, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Latvian Republic, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms and Conditions or your use of this Site shall lie only in the District court of Riga D, Latvian Republic and you further agree to and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

Changes to These Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time without prior notice to you. Your continued use of our site after any such modifications constitutes your acceptance of the modified Terms and Conditions.
